These Terms of Service (“Terms”) govern your access to and use of the services provided by PIXEL SYNC (HK) LIMITED, including advertising account infrastructure, agency advertising accounts, account funding services, dashboard access, onboarding, technical support, and other related services.

By creating an account, purchasing a subscription, funding an advertising account, electronically signing an agreement, or otherwise using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1

Definitions

For purposes of these Terms:

“PixelSync,” “Company,” “we,” “us,” or “our” means PIXEL SYNC (HK) LIMITED and, where applicable, its affiliates and service partners.

“Client,” “Advertiser,” “you,” or “your” means the individual or legal entity purchasing or using the Services.

“Services” means the advertising infrastructure, Agency Advertising Accounts, account funding services, dashboard, onboarding, account setup, support, and other related services provided by PixelSync.

“Advertising Platform” or “Platform” means Meta, Google, TikTok, OpenAI, or any other third-party advertising platform supported through our Services.

“Agency Advertising Account” means an advertising account made available through PixelSync’s agency infrastructure, agency relationships, credit facilities, or partner infrastructure.

“Advertising Content” includes advertisements, creatives, videos, images, copy, landing pages, websites, products, offers, applications, Pages, domains, datasets, pixels, and other materials or assets used in connection with advertising.

2

Eligibility and Authority

By using our Services, you represent and warrant that:

  • You are at least 18 years old or have reached the legal age of majority in your jurisdiction;
  • You have the legal authority to enter into these Terms;
  • If you are acting on behalf of a company or organization, you have authority to bind that entity;
  • All information provided to PixelSync is accurate, complete, and truthful;
  • Your use of the Services complies with all applicable laws and Advertising Platform policies.

PixelSync may request business information, identification, website information, advertising materials, licenses, or other documents where reasonably required for onboarding, compliance review, risk management, or advertising account applications.

3

Scope of Services

Depending on the Client’s selected plan, PixelSync may provide:

  • Agency Advertising Account access;
  • Business Manager or advertising infrastructure setup;
  • Whitelisted or specially approved advertising account applications;
  • Advertising account funding;
  • Dashboard and wallet functionality;
  • Account replacement options;
  • Technical onboarding;
  • Advertising account application assistance;
  • Advertising account support;
  • Campaign-related guidance;
  • Other related advertising infrastructure services.

The specific Services available to a Client may depend on the subscription plan, business category, Advertising Platform requirements, account availability, spending level, and compliance status.

PixelSync does not guarantee that every requested advertising account, feature, spending limit, business category, Page, domain, application, or other asset will be approved by an Advertising Platform.

4

Agency Advertising Accounts

Agency Advertising Accounts are provided through PixelSync’s advertising infrastructure or agency relationships.

Unless otherwise expressly agreed in writing:

  • Agency Advertising Accounts remain part of PixelSync’s or the applicable agency partner’s infrastructure;
  • Clients are granted the permissions reasonably necessary to create, manage, optimize, and monitor advertising campaigns;
  • PixelSync may retain administrative, financial, billing, ownership, or other permissions required to manage the account;
  • Certain financial permissions may not be granted to Clients because Agency Advertising Accounts may operate through PixelSync’s or its partner’s credit line;
  • Funding of Agency Advertising Accounts must generally be processed through PixelSync.

Access to an Agency Advertising Account does not transfer legal ownership of the underlying advertising account, credit facility, agency relationship, or advertising infrastructure to the Client.

5

Business Managers, Pages, Pixels, Datasets, and Other Assets

Where supported by the applicable Advertising Platform, Clients may use their own Business Manager, Pages, Pixels, Datasets, domains, applications, or other assets.

Assets created and owned within the Client’s own Business Manager generally remain the Client’s assets.

Where PixelSync creates or provides assets on behalf of a Client, ownership, transferability, and continued access may depend on the specific setup and applicable Advertising Platform restrictions.

For security and compliance reasons, PixelSync may be unable to transfer or share certain assets outside its agency infrastructure after the Services end.

Clients are responsible for maintaining their own administrative access, backups, and ownership records for Client-owned assets.

6

Whitelisted and Specially Approved Accounts

Certain Agency Advertising Accounts may require prior approval from the relevant Advertising Platform.

During the application process, PixelSync may be required to submit assets or information including:

  • Facebook Pages;
  • Domains;
  • Landing pages;
  • Applications;
  • Meta App IDs;
  • App Store links;
  • Google Play Store links;
  • Business information;
  • Advertising materials;
  • Other relevant assets or information.

Once an account has been approved, certain submitted assets may become permanently associated with that advertising account.

In particular, approved Pages, applications, domains, or other assets may not be replaceable or changeable after approval.

The Client is responsible for ensuring that all submitted assets and information are correct before the application is submitted.

Where appropriate, PixelSync recommends preparing backup assets before submission.

7

Client Responsibility for Advertising Activity

The Client is solely responsible for all Advertising Content and advertising activity conducted through the Services.

This includes responsibility for:

  • Products and services being advertised;
  • Advertising claims;
  • Creatives and copy;
  • Landing pages;
  • Websites;
  • Pricing;
  • Promotions;
  • Targeting;
  • Customer communications;
  • Regulatory disclosures;
  • Licenses and permits;
  • Intellectual property rights;
  • Data collection;
  • Compliance with applicable laws;
  • Compliance with Advertising Platform policies.

PixelSync may provide recommendations, operational guidance, or compliance-related suggestions, but such guidance does not constitute legal advice and does not guarantee advertising approval.

The Client remains responsible for the final content, operation, and management of each advertising campaign.

8

Platform Review, Restrictions, and Account Suspension

All advertising activity remains subject to the independent policies, systems, reviews, and enforcement decisions of the relevant Advertising Platform.

Advertising Platforms may:

  • Reject advertisements;
  • Restrict Pages;
  • Restrict Business Managers;
  • Restrict personal profiles;
  • Restrict advertising accounts;
  • Increase or reduce spending limits;
  • Request verification;
  • Suspend advertising accounts;
  • Permanently disable advertising accounts;
  • Modify policies;
  • Change approval criteria;
  • Apply automated enforcement.

These actions may occur with or without prior notice.

PixelSync does not control such decisions and cannot guarantee that any advertising account will remain active indefinitely.

No Agency Advertising Account, whitelisted account, high-trust account, or other advertising setup is immune from review, restriction, or suspension.

9

Advertising Performance

PixelSync does not guarantee any specific:

  • CPM;
  • CPC;
  • CPA;
  • CPL;
  • ROAS;
  • Conversion rate;
  • Advertising spend;
  • Delivery;
  • Reach;
  • Revenue;
  • Profitability;
  • Campaign performance;
  • Scaling result.

Advertising performance depends on many factors outside PixelSync’s control, including auction conditions, targeting, creatives, products, landing pages, market demand, historical conversion data, Platform algorithms, and competition.

10

Subscription Plans

Access to certain Services may require an active subscription.

Subscription terms may vary by plan and may include differences in:

  • Number of advertising accounts;
  • Replacement eligibility;
  • Supported advertising categories;
  • Support level;
  • Monthly subscription fee;
  • Top-up fee;
  • Advertising account application limits;
  • Spending limits;
  • Other plan benefits.

The pricing displayed at the time of purchase, or otherwise agreed in writing, will apply to the Client’s subscription.

11

Recurring Billing and Automatic Renewal

Where a subscription is billed automatically, the Client authorizes PixelSync and its payment providers to charge the selected payment method on a recurring basis until the subscription is cancelled.

Unless otherwise stated:

  • Subscription fees are charged in advance;
  • Cancellation prevents future renewal but does not automatically create a refund for the current billing period;
  • Failure to pay may result in suspension of Services.

PixelSync may change future subscription pricing by providing reasonable advance notice.

12

Advertising Funds and Wallet Balance

Clients may deposit advertising funds using payment methods supported by PixelSync.

Supported payment methods may include:

  • Bank transfer;
  • Cryptocurrency;
  • Other payment methods made available through the PixelSync dashboard.

Once payment is verified, advertising funds may be credited to the Client’s PixelSync wallet or advertising account.

Processing time may vary depending on:

  • Payment method;
  • Banking network;
  • Payment provider;
  • Currency;
  • Compliance review;
  • Business hours;
  • Third-party systems.

PixelSync does not guarantee instant settlement for bank transfers.

13

Top-Up Fees and Service Fees

Advertising account funding may be subject to a top-up fee or service fee depending on the Client’s plan, advertising account type, business category, or risk profile.

The applicable fee will be displayed or communicated before the relevant Service is purchased or provided.

Higher-risk, sensitive, or more heavily regulated advertising categories may be subject to different pricing or service fees.

PixelSync may modify pricing for future transactions where reasonably necessary to reflect account risk, Advertising Platform requirements, payment costs, or changes in service structure.

14

Unused Advertising Balance

Where technically possible, unused advertising funds may be:

  • Transferred to another eligible advertising account;
  • Returned to the Client’s PixelSync wallet; or
  • Refunded through an available payment method.

The availability and timing of any refund may depend on the Advertising Platform, payment method, banking network, account status, account balance, and other technical or compliance requirements.

Applicable bank charges, network fees, payment processing fees, foreign exchange costs, or other third-party charges may be deducted from refunded amounts.

15

Refund Policy

Except where required by applicable law or expressly agreed otherwise in writing:

Subscription fees and service fees are generally non-refundable once the relevant service period has begun or the Service has been delivered.

Unused advertising balance is treated separately from subscription fees and service fees.

Where PixelSync is unable to deliver a paid Service and no equivalent alternative is provided, PixelSync may, depending on the circumstances, provide:

  • A refund;
  • Service credit;
  • Account credit; or
  • Another commercially reasonable resolution.

Refunds are not guaranteed where service interruption or advertising account restrictions arise from:

  • Client Advertising Content;
  • Advertising policy violations;
  • Advertising Platform enforcement;
  • Misleading claims;
  • Prohibited products or services;
  • Fraudulent activity;
  • Client-controlled assets;
  • Client campaign activity;
  • Other Client-controlled factors.
16

Advertising Account Replacement

Replacement eligibility depends on the Client’s subscription plan and the circumstances surrounding the restriction.

PixelSync may provide a replacement advertising account where permitted under the applicable subscription plan.

Replacement may not be available, or additional fees may apply, where restrictions result from:

  • Advertising policy violations;
  • Misleading or deceptive advertising;
  • Excessive rejected advertisements;
  • Prohibited products or services;
  • Client-controlled assets;
  • Unauthorized access;
  • Abusive advertising practices;
  • Fraudulent activity;
  • Repeated account violations.

PixelSync does not guarantee unlimited account replacements unless such a benefit is expressly included in the Client’s active subscription plan.

17

Violation Rate and Agency Risk

Advertising Platform enforcement against accounts provided through PixelSync may affect PixelSync’s agency relationship, violation rate, account quality, or ability to provide Services to other Clients.

Accordingly, PixelSync reserves the right to:

  • Review Advertising Content;
  • Require changes to creatives or landing pages;
  • Decline certain campaigns;
  • Restrict certain business categories;
  • Apply additional service fees;
  • Require a different advertising account type;
  • Suspend an advertising account;
  • Terminate Services.

Such measures may be taken where reasonably necessary to protect PixelSync’s advertising infrastructure, agency relationships, or compliance status with Advertising Platforms.

18

Prohibited Use

The Services may not be used for unlawful or fraudulent activity.

PixelSync may refuse, suspend, or terminate Services involving:

  • Fraud;
  • Scams;
  • Impersonation;
  • Counterfeit products;
  • Stolen goods;
  • Illegal products or services;
  • Deceptive advertising;
  • Unauthorized financial activity;
  • Material violations of Advertising Platform policies;
  • Attempts to compromise PixelSync systems;
  • Unauthorized resale of PixelSync Services;
  • Activity that creates unreasonable legal, financial, operational, or Advertising Platform risk to PixelSync.

PixelSync may request additional documentation before accepting or continuing to support a sensitive advertising category.

19

Client Account Security

The Client is responsible for protecting:

  • Passwords;
  • Login credentials;
  • Two-factor authentication information;
  • Business Manager access;
  • Advertising account access;
  • Email accounts;
  • Devices;
  • Browser profiles;
  • Other security credentials.

The Client must notify PixelSync promptly if unauthorized access is suspected.

PixelSync is not responsible for losses caused by the Client’s failure to secure its own credentials, accounts, devices, or systems.

20

Suspension and Termination

PixelSync may suspend or terminate Services where:

  • The Client breaches these Terms;
  • Payment is overdue;
  • Advertising activity creates excessive compliance risk;
  • Advertising Platform enforcement affects the relevant account;
  • Fraud or abuse is suspected;
  • The Client provides inaccurate or misleading information;
  • Continued provision of Services creates unreasonable legal, financial, reputational, operational, or Advertising Platform risk.

Where reasonably possible, PixelSync will attempt to communicate with the Client before termination.

However, immediate action may be taken where required for security, compliance, payment, risk management, or protection of PixelSync’s advertising infrastructure.

21

Effect of Termination

When Services end:

  • Future advertising account funding may no longer be available;
  • Access to certain Agency Advertising Accounts may be removed;
  • Agency credit facilities remain under PixelSync’s or its partner’s control;
  • Client-owned assets remain subject to their existing ownership structure;
  • Outstanding fees remain payable;
  • Eligible unused advertising balances may be handled in accordance with these Terms.

Ending a subscription does not transfer ownership of PixelSync’s agency infrastructure, Agency Advertising Accounts, or credit facilities to the Client.

22

Electronic Agreements and Electronic Signatures

The Client agrees that these Terms and related agreements may be accepted electronically.

Electronic acceptance may include:

  • Checking an “I Agree” box;

  • Clicking an acceptance button;
  • Applying an electronic signature;
  • Purchasing a subscription;

The Client agrees that electronic records and electronic signatures may be used as evidence of acceptance of these Terms.

PixelSync may record information including:

  • Company name;
  • Email address;
  • User ID;
  • Subscription plan;
  • Transaction reference;
  • IP address;
  • Acceptance timestamp;
  • Signature timestamp;
  • Agreement version.

Such records may be retained for contractual, compliance, accounting, payment dispute, and legal purposes.

23

Payment Disputes and Chargebacks

Clients are encouraged to contact PixelSync before initiating a payment dispute or chargeback so that the issue can first be reviewed and, where possible, resolved directly.

If a chargeback or payment dispute is initiated, PixelSync may provide relevant documentation to the payment processor, financial institution, card network, or other relevant party, including:

  • Accepted Terms of Service;
  • Electronically signed agreements;
  • Invoices;
  • Account records;
  • Funding records;
  • Service delivery records;
  • Communications;
  • Login records;
  • Transaction history;
  • Other evidence reasonably necessary to respond to the dispute.

Fraudulent, abusive, or improper chargebacks may result in immediate suspension or termination of Services.

24

Intellectual Property

The Client retains ownership of Advertising Content lawfully owned by the Client.

The Client grants PixelSync a limited license to process, access, display, transmit, or otherwise use such Advertising Content solely as necessary to provide the Services.

For purposes of this limitation, advertising funds deposited for campaign spending are not considered service fees.

30

The Client agrees to indemnify, defend, and hold harmless PixelSync, its directors, officers, employees, contractors, affiliates, and partners from claims, losses, damages, liabilities, costs, or expenses arising from:

PixelSync may designate either:

  • The courts of Hong Kong; or
  • Arbitration administered by the Hong Kong International Arbitration Centre (HKIAC),

as the applicable dispute resolution mechanism in the relevant agreement.

33

Changes to These Terms

PixelSync may update these Terms from time to time.

Material changes may be communicated through the website, dashboard, email, or other reasonable means.

PixelSync may retain records of the specific version of the Terms accepted by each Client.
